Our legal documents were authored in French. Translations in English and other languages are pending jurisdictional review by local counsel. In case of discrepancy, the French version prevails.
This Agreement complements the Terms of Use (Part A) and applies exclusively to Users enrolled as Freelancers (collectors, verifiers, or experts).
The Freelancer acts as an independent contractor. No subordination, no employment contract, no employer-employee relationship is created between OraData and the Freelancer. The Freelancer is responsible for their own tax filings, social security contributions, insurance, and legal obligations in their country of residence.
The Freelancer acknowledges they do not receive benefits tied to employee status (paid leave, health insurance, retirement, unemployment, etc.) and that their compensation is exclusively a per-task flat fee, calculated according to the prevailing rate card.
The Freelancer freely decides which tasks to accept, the volume, pace, and working hours. OraData imposes no quota, presence requirement, or exclusivity (except for NDA-restricted campaigns explicitly accepted by the Freelancer).
Compensation is set per task, according to the OraData rate card in effect at the time of validation. The grid is public inside the Freelance workspace and covers four levels (from most general to most specific):
The final price is transparent: the Freelancer sees the 4-level breakdown in every credited payment (table pricing_audit_log).
The Freelancer enters the Collector track (Bronze tier) or the Experttrack (Gold tier direct) depending on their qualification test result. Progression is automatic and based on four cumulative criteria: number of validated items, reliability score, Cohen's Kappa, and seniority.
The minimum cycle is bi-weekly (every 15 days) for all tiers. Higher tiers can choose weekly (Gold+), automatic weekly (Platinum+), or instant 24/7(Diamond, <60 seconds).
Available payment methods: Wave (West Africa), Chipper Cash (Anglophone Africa + Maghreb), Wise (worldwide bank transfer), Stripe Connect Instant (USA/Canada/Europe with debit card), PayPal (fallback). Any bank fees are the Freelancer's responsibility and are shown before confirmation.
No minimum payout threshold. The wallet balance is fully payable on request, within the chosen cycle.
The Freelancer assigns to OraData LLC, exclusively, worldwide, perpetually, and irrevocably, all intellectual property rights attached to the Content they produce on the Platform — including reproduction, representation, adaptation, modification, commercialization, and sublicensing to third parties (OraData clients, partners, researchers).
This assignment is compensated by the flat per-task payment. No further royalty is due to the Freelancer, regardless of the final use of the Content by OraData or its clients.
The Freelancer warrants they are the legitimate creator of the Content, that they hold authorizations from persons appearing in the Content (signed model release if identifiable), and that no third party may claim any right on this Content. They indemnify OraData against any third-party claim on that basis.
The Freelancer undertakes to never validate, annotate, or certify data they produced or collected themselves. Any bypass attempt (multiple accounts, collusion with another Freelancer, identity impersonation) results in immediate Agreement termination and clawback of payments wrongly received.
This confidentiality obligation survives Agreement termination for five (5) years.
For the medical imaging vertical (DICOM), the Freelancer acknowledges the data constitutes Protected Health Information (PHI) under HIPAA (USA). They agree to sign a separate Business Associate Agreement (BAA) before starting any DICOM task. They commit to respecting all access, storage, and processing rules defined by this BAA and by the Platform.
The Freelancer may terminate their account at any time via /app/settings/delete-account. Termination is effective immediately. The wallet balance is paid out within 7 business days. Already-validated Content remains OraData property.
OraData may terminate the account with immediate effect in case of: Golden Rule violation, proven fraud, breach of confidentiality or consent obligations, illegal behavior, or sustained reliability score degradation below the floor thresholds.
If the reliability score drops below the current tier threshold, the Freelancer is notified and has a 14-day grace period to recover. Failing that, one tier demotion per incident. Inactivity greater than 60 days at Diamond tier results in automatic demotion to Platinum. Expert-track Freelancers never fall below Gold.
In case of disagreement on a payment, demotion, or termination, the Freelancer can contact OraData support at support@oradata.ai. OraData commits to responding within 10 business days and to providing a reasoned decision within 30 days.
This Agreement is accepted electronically at signup, via a dedicated checkbox, with timestamp, IP address, and document hash. This acceptance has the value of a signature under eIDAS (Europe) and the ESIGN Act (USA). The Freelancer may at any time download a signed PDF copy from /app/settings/documents.
This document is under review by legal counsel (Minnesota attorney + GDPR specialist). The signed version will be published here before the official launch.
